From the day you register to your second year

Every deadline that binds a new Malaysian business, the clock that starts it, and what happens if you miss it. Two tracks: sole proprietor or enterprise, and Sdn Bhd.

General information, not legal or tax advice. Every figure carries its source and the date it was verified.

Two tracks, real costs

The difference between these two is not the tax rate. It is the recurring cost, and the wall between the business's debts and your own house.

Enterprise / sole proprietor

RM60a year

One annual payment to SSM, and that is the whole recurring cost. No wall: the business's debts are your debts.

Sdn Bhd

RM3,500–RM10,000first year

One registration, then a company secretary, an annual return and financial statements every year. What the difference buys you is that wall.

Tier B - market estimate, not an official figure

Three things a Google search cannot tell you

Not because the information is secret. Because you do not know what to search for.

Eleven clocks, eleven different starts

Sdn Bhd deadlines do not run from one date. Some run from incorporation, one from its anniversary, four from the financial year end, one from the day the accounts were circulated, two from your first hire. Founders miss them because they assume a single starting point.

An offence you can commit while owing no tax

Failing to keep records is its own offence under Income Tax Act 1967 s.119A, separate from any tax owed. You can owe nothing at all and still be fined.

There is no national business licence

Your premises licence comes from the council you physically stand in, not from SSM - and every council has its own by-laws. A signboard is a separate licence again, with spelling that DBP must clear before the council will approve it.

One widely repeated figure that is simply wrong: “under RM50,000 you do not need to register for tax” - no such threshold exists. A tax number opens automatically at age 18.

What is in the kit

Digital files, printed by you, in a separate folder for your own entity type - not one combined set with half of it inapplicable.

  • A6 decision-card deck

    56 cards

Five groups by function, indexed on the card edge so the Sdn Bhd block can be pulled out by feel. Print it yourself, four to an A4 sheet.

  • A2 wall chart, plus an A3 desk sheet

    A2 420×594mm

A timeline you can read across a room: every duty is a named stop, and the four different clocks are drawn straight through it. One sheet for your entity type alone, plus a comparison sheet to read before you register.

  • Excel tracker

    70 formulasnot a PDF

Type in your own two dates; every deadline is a live formula, not a printed list. Opens in Excel or Google Sheets on a phone.

  • Calendar generator

    not a PDF

A local page that emits an .ics file - your own dates go straight into the calendar you already check, with a seven-day and a one-day reminder.

  • One-page compliance calendar

The fixed public dates for 2026 and 2027. It prints its own expiry, because a statutory date is only fixed until it moves.

  • Readiness check

    not a PDF

You score it yourself, on your own device. Nothing is sent anywhere - that is a design decision, not a missing feature.

  • Kos Lewat - the penalty, computed

Every guide prints the deadline. Not one prints the arithmetic on the other side of it. This sheet separates the ceiling fine on conviction from the daily amount that runs after it - and names what stops it, row by row.

  • e-Invoice field checker

    not a PDF

An offline tool that checks every mandatory MyInvois field: the empty ones, and the ones that do not match LHDN's own published example. It runs in your browser and sends nothing anywhere.

  • Fill-in forms

    8 forms

A co-founder worksheet, a register of members, an expense claim, a records checklist, and a first invoice complete to the e-Invoice field spec. A blank set, a worked set, and a mono set for the photocopy shop.

  • Cap table and register of members

    768 formulasnot a PDF

One allotment log is the only place anything is typed; the cap table and the register are computed from it, so the two cannot disagree. Every row carries its own s.78 deadline.

5 of the 10 items are not PDF documents - they are files that compute, generate or store something.

What this kit is not

  • Not legal or tax advice. General information, with a source and a verification date on every figure.
  • Not a registration service. The kit does not register anything on your behalf, and cannot.
  • Not a company secretary. A Sdn Bhd still has to appoint one within the statutory window.
  • Not a guarantee. The kit tells you what the dates are; meeting them is your job.

Two prices

A single price fails at both ends. The real cost of these two entity types differs by an order of magnitude, so the kits do too.

Enterprise / sole proprietor

RM129–RM169

Roughly two to three times what registering your trade name costs.

against RM60 a year

Sdn Bhd

RM490–RM590

A small fraction of a Sdn Bhd's first-year cost.

against RM3,500–RM10,000 first year

How the figures on this page are built

Every figure in the kit and on this page comes from one fact base: 101 facts, each carrying a source, an evidence tier and a verification date. 78 were read from primary text - an act, a gazette, or the regulator's own document. Another 21 are corroborated secondary sources. The build scripts refuse to run if any figure is typed by hand.

The wrong numbers are kept too - 3 of them, in a separate register, sourced to where the false claim was observed rather than to a document supporting it. The kit has to print a wrong number in order to refute it, and without that register there is no way to tell a quoted falsehood from a fabricated figure.
